Terms of Service

This Customer Terms of Service is entered into by and between DetentLabs, Inc., operating the SafeClick service ("SafeClick," "we," "us," or "our") and the entity or person accessing or using any Services ("Customer," "you," or "your"). If you are accessing or using the Services on behalf of your company, you represent that you are authorized to accept this Agreement on behalf of your company, and all references to "you" or "Customer" refer to your company. If you sign up using an email address from your employer or another entity, you will be deemed to represent such party, your acceptance will bind your employer or that entity to these terms, and "Customer," "you," or "your" will refer to your employer or that entity.

This Agreement permits Customer to access and use the online software-as-a-service security analysis platform provided by SafeClick and sets forth the basic terms and conditions under which those products and services will be delivered.

The "Effective Date" of this Agreement is the earlier of (a) Customer's initial access to the Services through any online registration or order process or (b) the date you first agree to these terms.

PLEASE NOTE: THAT SECTION 11.3 OF THIS AGREEMENT CONTAINS AN ARBITRATION AGREEMENT THAT REQUIRES MOST DISPUTES BETWEEN US TO BE RESOLVED ON AN INDIVIDUAL, NON-CLASS ACTION BASIS THROUGH BINDING AND FINAL ARBITRATION INSTEAD OF IN COURT. SEE SECTION 11.3 FOR MORE INFORMATION REGARDING THIS ARBITRATION CLAUSE AND HOW TO OPT OUT.

By indicating your acceptance of this Agreement or accessing or using any Services, you agree to be bound by all terms, conditions, and notices contained or referenced in this Agreement. If you do not agree to this Agreement, please do not use any Services. Each party expressly agrees that this Agreement is legally binding upon it.


1. Definitions

1.1 "Services" means the SafeClick platform, including its website, web and mobile applications, and all features and functionality that SafeClick provides, including but not limited to URL security analysis, wallet address scanning, and blockchain transaction analysis.

1.2 "Threat Analysis" means the AI-powered analysis of URLs, wallet addresses, and blockchain transactions performed by the Services to identify potential security threats, scams, or malicious activity. Threat Analysis outputs include risk assessments, threat levels, and explanatory reasoning.

1.3 "User Data" means any data in electronic form that Customer provides through the Platform or that is otherwise collected by SafeClick from or about Customer, including account information, URLs, wallet addresses, transaction hashes, and scan results.

1.4 "Platform" means the SafeClick website (safeclick.dev), applications, APIs, and related infrastructure through which the Services are delivered.

1.5 "Agreement" means this Customer Terms of Service and any policies or documents referenced herein.

1.6 "Output" means any analysis results, threat assessments, risk scores, or other materials generated by the Services in response to Customer input.


2. The Services

2.1 Grant of Access

Subject to the terms and conditions of this Agreement, SafeClick grants to Customer a limited, non-transferable, non-exclusive right to access and use the Services for lawful purposes in accordance with the functionalities provided by SafeClick.

2.2 Service Description

The Services provide AI-powered security analysis for URLs, wallet addresses, and blockchain transactions. SafeClick is designed to help users identify potential security threats, scams, and malicious activity when interacting with web links, cryptocurrency addresses, and blockchain transactions. The Services include chat-based analysis, transaction scanning across multiple blockchains, and threat flagging capabilities.

2.3 Ownership

All rights and title in and to the Platform, the Services, and all related intellectual property belong exclusively to SafeClick and its licensors. No rights are granted to Customer other than as expressly set forth in this Agreement.

2.4 Restrictions on Use

Customer shall not: (a) use the Services for any unlawful purpose or in violation of any applicable laws or regulations; (b) attempt to reverse engineer, decompile, or disassemble the Services; (c) use the Services to develop a competing product or service; (d) scrape, crawl, or use automated means to access the Services except as permitted by SafeClick; (e) share access credentials with unauthorized parties; or (f) use the Services in a manner that interferes with or disrupts the integrity or performance of the Platform.


3. User Responsibilities

3.1 Customer is responsible for maintaining the security and confidentiality of account credentials and for all activities that occur under Customer's account.

3.2 Customer shall provide accurate and complete account information and keep such information current.

3.3 Customer agrees not to use the Services for any unlawful purpose or in violation of any applicable regulations.

3.4 Customer shall not act as a reseller or distributor of the Services or otherwise make the Services available to third parties without SafeClick's prior written consent.


4. AI and Threat Analysis

4.1 The Services include features that use artificial intelligence, including large language models and machine learning, to perform Threat Analysis (collectively, "AI Features"). Customer acknowledges that User Data, including URLs, wallet addresses, and transaction hashes submitted for analysis, will be transmitted to and processed by such AI Features.

4.2 Given the probabilistic nature of artificial intelligence technology, the Output may be inaccurate or incomplete. SafeClick provides Threat Analysis on a best-effort basis. While we strive for accuracy, we cannot guarantee that all threats will be detected. Users should exercise their own judgment when interacting with URLs, blockchain addresses, and transactions. All Output is provided "as is" and "with all faults."

4.3 SafeClick makes no representations, warranties, or covenants of any kind with respect to the AI Features or any Output, including with respect to accuracy, completeness, truthfulness, or suitability. Customer agrees that all decisions made in reliance on any Output are made at Customer's own risk and that SafeClick shall have no responsibility or liability arising therefrom.


5. Data and Privacy

5.1 Customer grants SafeClick a non-exclusive, worldwide, royalty-free right to use, process, and store User Data as necessary to provide, maintain, secure, and improve the Services, subject to the use, retention, and training limits stated in the Privacy Policy and in any written evaluation or order agreement between the parties, which prevail over this Section to the extent of any conflict.

5.2 SafeClick's collection, use, and disclosure of Personal Information is governed by our Privacy Policy, available at https://safeclick.dev/privacy-policy, which is incorporated into this Agreement by reference.

5.3 Customer is responsible for ensuring that User Data provided to SafeClick does not violate any third-party rights or applicable laws.


6. Fees and Payment

6.1 SafeClick may offer certain Services free of charge. Use of free Services is subject to the terms of this Agreement.

6.2 If SafeClick introduces paid subscriptions or Fees, such terms will be set forth in a separate order form or pricing page. Unless otherwise agreed, Customer shall pay all Fees when due.

6.3 SafeClick reserves the right to modify or discontinue free Services at any time with or without notice.


7. Warranties

7.1 Each party represents and warrants that it has the legal power and authority to enter into this Agreement.

7.2 EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH HEREIN, (A) ALL SERVICES ARE PROVIDED ON AN "AS IS" BASIS WITHOUT ANY WARRANTY WHATSOEVER; (B) SAFECLICK EXPRESSLY DISCLAIMS, TO THE MAXIMUM EXTENT PERMISSIBLE UNDER APPLICABLE LAW, ALL WARRANTIES, EXPRESS, IMPLIED AND STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NONINFRINGEMENT, OR ARISING FROM COURSE OF PERFORMANCE, DEALING, USAGE OR TRADE; AND (C) SAFECLICK MAKES NO WARRANTY REGARDING NONINTERRUPTION OF USE OR FREEDOM FROM BUGS, AND MAKES NO WARRANTY THAT SERVICES WILL BE ERROR-FREE.


8. Limitation of Liability

EXCEPT FOR THE PARTIES' INDEMNIFICATION OBLIGATIONS AND FOR CUSTOMER'S BREACH OF SECTION 2.4 OR SECTION 3, IN NO EVENT SHALL EITHER PARTY, NOR ITS DIRECTORS, EMPLOYEES, AGENTS, PARTNERS, SUPPLIERS OR CONTENT PROVIDERS, BE LIABLE UNDER CONTRACT, TORT, STRICT LIABILITY, NEGLIGENCE OR ANY OTHER LEGAL OR EQUITABLE THEORY WITH RESPECT TO THE SUBJECT MATTER OF THIS AGREEMENT FOR ANY LOST PROFITS, DATA LOSS, BREACH OF DATA OR SYSTEM SECURITY, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, OR SPECIAL, INDIRECT, INCIDENTAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES OF ANY KIND WHATSOEVER, SUBSTITUTE GOODS OR SERVICES (HOWEVER ARISING), IN EACH CASE REGARDLESS OF WHETHER A PARTY WAS ADVISED OF THE POSSIBILITY OF SUCH LOSSES OR DAMAGES OR SUCH LOSSES OR DAMAGES WERE OTHERWISE FORESEEABLE. IN NO EVENT WILL SAFECLICK'S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT EXCEED (IN THE AGGREGATE) ONE HUNDRED DOLLARS (US $100.00) OR THE FEES PAID (OR PAYABLE) BY CUSTOMER TO SAFECLICK IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO A CLAIM HEREUNDER, WHICHEVER IS GREATER.


9. Indemnity

9.1 Customer will indemnify and hold SafeClick harmless from and against any third-party claim against SafeClick arising from or related to (i) Customer's breach of this Agreement, (ii) Customer's misuse of the Services or any Output, or (iii) Customer's violation of any applicable law.

9.2 SafeClick will indemnify and hold Customer harmless from and against any third-party claim against Customer alleging that Customer's use of the Services as permitted hereunder infringes or misappropriates a third party's valid U.S. patent, copyright, trademark, or trade secret, subject to Customer providing prompt notice and reasonable cooperation in the defense thereof.


10. Term and Termination

10.1 Customer may delete Customer's account at any time through the Settings page or by contacting SafeClick at support@safeclick.dev.

10.2 SafeClick reserves the right to suspend or terminate Customer's access to the Services for material breach of this Agreement, including violations of Section 2.4 or Section 3.

10.3 Upon termination, the rights granted to Customer shall terminate immediately. SafeClick may retain User Data as set forth in the Privacy Policy or as required by law.


11. General Provisions

11.1 Governing Law

This Agreement and any disputes arising out of or related hereto shall be governed by and construed in accordance with the laws of the State of Delaware, without giving effect to its conflicts of laws rules.

11.2 Notices

SafeClick may give general notices related to the Services by email or through the Platform. All other notices required hereunder will be in writing and effective upon delivery. Notices to SafeClick may be sent to support@safeclick.dev.

11.3 Arbitration Agreement

The parties shall use their best efforts to settle any dispute, claim, question, or disagreement arising out of or relating to the subject matter of this Agreement directly through good-faith negotiations, which shall be a precondition to either party initiating arbitration. If such negotiations do not resolve the dispute, it shall be finally settled by binding arbitration. The arbitration will proceed in the English language, in accordance with the JAMS Streamlined Arbitration Rules and Procedures then in effect, by one commercial arbitrator with substantial experience in resolving commercial contract disputes. Judgment upon the award rendered by such arbitrator may be entered in any court of competent jurisdiction.

You shall have the right to opt out of the provisions of this Section 11.3 by sending written notice of the decision to opt out to support@safeclick.dev postmarked within thirty (30) days of first accepting this Agreement. Customer must include (i) Customer's name and residence address, (ii) the email address associated with Customer's account, and (iii) a clear statement that Customer wants to opt out of this arbitration agreement.

THE PARTIES WAIVE ANY CONSTITUTIONAL AND STATUTORY RIGHTS TO GO TO COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR JURY. ALL CLAIMS AND DISPUTES WITHIN THE SCOPE OF THIS ARBITRATION AGREEMENT MUST BE ARBITRATED OR LITIGATED ON AN INDIVIDUAL BASIS AND NOT ON A CLASS BASIS. CLAIMS OF MORE THAN ONE CUSTOMER OR USER CANNOT BE ARBITRATED OR LITIGATED JOINTLY OR CONSOLIDATED WITH THOSE OF ANY OTHER CUSTOMER OR USER.

11.4 Severability

If any provision of this Agreement is held by a court of competent jurisdiction to be contrary to law, the provision shall be modified to accomplish the objectives of the original provision to the fullest extent permitted by law, and the remaining provisions shall remain in full force and effect.

11.5 Entire Agreement

This Agreement sets forth the entire agreement of the parties and supersedes all prior or contemporaneous writings and discussions with respect to its subject matter. SafeClick reserves the right to modify this Agreement at its sole discretion. Continued use of the Services after any such changes shall constitute Customer's consent to such changes. If Customer objects to updated terms, Customer may terminate this Agreement and cease using the Services as Customer's exclusive remedy.
